MyBuyerBuddy User Agreement

Subject to your continued compliance with this Agreement, MyBuyerBuddy grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the App for your own lawful, personal, or internal business purposes. This license permits you to use the App’s features—including uploading photos of items, receiving AI-generated item identifications, and viewing associated market-price information—solely as intended and made available through the standard functionality of the App.

This license does not constitute a sale of the App or any part of it. All rights not expressly granted to you are reserved by MyBuyerBuddy and its licensors.

You agree that you will not, and will not permit any third party to:

• copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;
• rent, lease, lend, sell, sublicense, distribute, or otherwise commercially exploit the App or make it available to any third party outside the terms of this Agreement;
• use the App to upload, submit, or transmit any content that is unlawful, infringing, harmful, or that you do not have the right to submit;
• use any automated means (including bots, scrapers, or crawlers) to access, scrape, or harvest data from the App, or otherwise circumvent usage limits, rate limits, or trial restrictions;
• interfere with, disrupt, or place an unreasonable load on the App, its servers, or the networks connected to it, or attempt to gain unauthorized access to any portion of the App or its related systems;
• use the App to violate any applicable law, regulation, or the terms of any third-party service (including eBay) that the App interacts with.

You are solely responsible for the accuracy and legality of any content you submit and for all activity that occurs under your account. Item identifications and price information provided by the App are estimates generated by automated systems and are provided for informational purposes only; you are responsible for verifying such information before relying on it for any purchase, sale, or other decision.

The App, including all software, text, graphics, logos, designs, user interfaces, and other content provided by us (excluding your own uploaded content), and all intellectual property rights therein, are and remain the exclusive property of MyBuyerBuddy and its licensors. The “MyBuyerBuddy” name, logo, and all related marks are trademarks of MyBuyerBuddy. Nothing in this Agreement grants you any right to use them without our prior written consent.

You retain ownership of the photos and other content you upload to the App (“User Content”). You grant MyBuyerBuddy a worldwide, non-exclusive, royalty-free license to host, process, and use your User Content solely for the purpose of operating, providing, and improving the App’s features (such as identifying items and returning price information). We do not claim ownership of your User Content.

Product names, listings, and related data surfaced from third-party marketplaces remain the property of their respective owners and are provided for reference only.

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MyBuyerBuddy DOES NOT WARRANT THAT ITEM IDENTIFICATIONS OR PRICE INFORMATION WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MyBuyerBuddy, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above limitations may not apply to you.

This Agreement remains in effect for as long as you use the App. You may terminate it at any time by discontinuing your use of the App and, if applicable, cancelling your subscription and deleting your account.

We may suspend or terminate your access to the App, in whole or in part, at any time and without notice if we reasonably believe you have violated this Agreement, if required by law, or if we discontinue the App. Upon termination, the license granted to you will immediately end and you must cease all use of the App. Sections relating to Intellectual Property, Limitation of Liability, Governing Law, and any other provisions that by their nature should survive, will survive termination.

This Agreement and any dispute arising out of or relating to it or the App shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict-of-laws principles. You agree that the exclusive jurisdiction and venue for any dispute not subject to arbitration or a small-claims court shall lie in the state and federal courts located in the State of Missouri, United States, and you consent to personal jurisdiction there. If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force and effect.

If you download or access the App through a third-party application marketplace or platform (each, an “App Store,” such as the Apple App Store or Google Play), you acknowledge and agree that:

• this Agreement is between you and MyBuyerBuddy only, and not with the App Store, and the App Store is not responsible for the App or its content;
• the App Store has no obligation to furnish any maintenance or support services for the App;
• in the event the App fails to conform to any applicable warranty, you may notify the App Store, and the App Store may refund the purchase price (if any); to the maximum extent permitted by law, the App Store will have no other warranty obligation with respect to the App;
• the App Store is not responsible for addressing any claims by you or a third party relating to the App, including product-liability, legal- or regulatory-compliance, or intellectual-property claims;
• you represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist-supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties;
• you must comply with all applicable third-party terms of the App Store when using the App; and
• the App Store and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, will have the right to enforce it against you.

We may update this Agreement from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Agreement in the App and revising the effective date above. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Agreement.
